TERMS AND CONDITIONS OF PARTICIPATION IN THE CLOSED AUDITION PROCESS AND PRODUCTION OF CLOVER LITTLE BIG COOK OFF SEASON 2

Clover S.A. (Pty) Ltd and its staff, directors and affiliated companies (South African Broadcasting Corporation SOC Ltd, Quizzical Pictures (Pty) Ltd and Seven Different Kinds Of Smoke Mobile Advertising Agency CC, trading as 7DFFRNT KNDS OF SMKE) are the “Producers” of the “Clover Little Big Cook-Off Season 2” televised reality contest, an episodic advertiser funded cooking program that will take place in Johannesburg during May 2015, where teams (comprising of an adult and a child) will compete against each other in a cook-off for the chance to win a share of the competition prizes (“AFP”). The closed audition process in respect of the AFP (“Closed Audition Process”) and the participation of the successful entrant in the Closed Audition Process are subject to the following terms and conditions:

1. ELIGIBILITY CRITERIA
1.1. In order to be considered to participate in the Closed Audition Process, you must:
1.1.1. enter as a team comprising of 2 (two) people with one being an adult (eighteen years of age or older as at the date of audition and the other a child between the ages of 7 (seven) and 15 (fifteen) as at the date of audition;
1.1.2. be a South African citizen;
1.1.3. produce a valid identity document and/or birth certificate;
1.1.4. not have a criminal record, it being recorded that the Producers reserve the right to exclude traffic infringements which the Producers deem to be minor within their sole discretion from this eligibility criterion;
1.1.5. have successfully entered the Clover Dairy Little Big Cook Off Instant Cash Competition (“Cash Competition”) before 15 April 2015 and, following a telephonic interview with the Producers, must have received and accepted an invitation from the Producers to participate in the Closed Audition Process. [Note: the Producers’ decision to extend an invitation is within its sole and absolute discretion];
1.1.6. agree to abide by such terms and conditions as may be determined by the Organisers in respect of the AFP in the event that you are successful in the closed auditions; and
1.1.7. agree to abide by these terms and conditions.
1.2. The AFP is not open to:
1.2.1. the employees of the Producers and the respective advertising, media and PR Agencies, or the family members, consultants, directors, associates and trading partners of such organizations and persons; and
1.2.2. persons who are professional chefs, cooks, food preparation staff, restaurateurs or similar.

2. THE SELECTION PROCESS
2.1. Provided you have entered the Cash Competition before 15 April 2015, you could receive a telephone call from the Producers in order for them to conduct a telephonic interview with you.
Telephonic interviews will commence from 23 March 2015 and will continue until 17 April 2015.
2.2. If you are selected to participate in the telephonic interview and are able to impress the Producers, the Producers may within their sole and absolute discretion extend an invitation to you to participate in the Closed Audition Process.
2.3. You will receive this invitation by way of email by no later than 16 April 2015, setting out full details of the audition process.
2.4. The audition process is strictly by invitation only.
2.5. You will audition before a panel of judges who are from the production team of the AFP.
2.6. The decision of the judges as to your success in the audition process will be final and binding. No deliberations may be entered into and no decisions may be taken on review.
2.7. Contestants will be required to audition in English.
2.8. The audition session will be hosted in the city of Johannesburg, on the dates more fully set out in clause 3 below. The actual dates, times and logistical arrangements will be communicated to you once you have been successful in the telephonic interview. To the extent that a team is not from Gauteng, the Producers shall, at their expense, make provision for:
2.8.1. the team to be flown to Johannesburg for the auditions;
2.8.2. accommodation at the discretion of the Producers during the Audition Period;
2.8.3. meals; and
2.8.4. transportation both to and from the audition venues.
2.9. Round one
2.9.1. The first round of auditions will take place on Saturday, 18 April 2015 and will entail on-camera interviews with the teams where the teams will be asked a series of questions.
2.9.2. Based on the outcome of that round of interviews, the Producers shall, within their sole discretion select approximately 18 (eighteen) teams in order to proceed to the second round of the Closed Audition Process (“Round Two”).
2.9.3. Entrants who have been selected to proceed to Round Two shall be notified telephonically on the evening of 18th April 2015
2.9.4. For the avoidance of doubt, entrants who are not successful in Round One are not eligible to proceed to Round Two.
2.10. Round Two
2.10.1. Round Two will take place on Sunday, 19th April 2015.

2.10.2. During Round Two, teams will be expected to complete a series of tasks that will determine their personalities and skills within the kitchen. 2.10.3. The Producers shall within their discretion, select 12 (twelve) teams to compete on the AFP.
2.10.4. As such, all participants successful in Round Two will only be eligible to compete in the AFP if they agree to be bound by the terms and conditions applicable to the AFP.

3. CLOSED AUDITION VENUE, DATES AND TIMES
3.1. The auditions will be recorded by the Producers for their own records and not for purposes of broadcasting same. However, the Producers reserve the right to broadcast same.
3.2. As indicated above, the audition process will be a closed audition and as such will not be open to the public but only the teams who have been successfully short-listed for the auditions.
3.3. The closed auditions will commence on 18 April 2015 and will continue until 19 April 2015 (“Audition Period”).
3.4. On the commencement day of the audition process and prior to commencement thereof, teams will be required to produce satisfactory identification and sign a waiver and indemnity form to be provided by the Producers.
3.5. The 2 (two) auditions sessions will be held on the dates, times and at the venues set out hereunder:

4. PRODUCTION OF THE AFP (APPLICABLE TO PARTICIPANTS SUCCESSFUL IN ROUND TWO)
4.1. The Production of the AFP will take place between the period commencing from 4 May 2015 until 21 May 2015 (“the Production Period”).
4.2. If you are successful during the Closed Audition Process, you agree to be unconditionally available during the Production Period and abide by such further terms and conditions which may be applicable to the actual production of the AFP.
4.3. You may be required to appear at public venues and participate in activation events as decided by the Producers both during the Production Period, in the lead up to the broadcast of the AFP as well as subsequent to the broadcast thereof.
4.4. Your behavior must be impeccable at all times at any stage of production or pre-production of the AFP. Any bad behavior (as determined by the Producers in their sole discretion) will be deemed grounds for your disqualification.

5. GENERAL
5.1. You consent to the Producers making a fixation of your appearance and performance in the closed auditions (“Performances”), as well as any other images and/or sounds featuring you, in any media (for example, television, film, photograph, video, tape, etc.) in which the Performances have been wholly or partly recorded or captured, including any reproduction or adaptation thereof, and the broadcast thereof, as such terms are understood in terms of the Performers’ Protection act 11 of 1967 (as amended from time to time), for the purposes of Clover Little Big Cook-Off Season 2, the promotion thereof and the promotion of Clover Little Big Cook-Off Season 2.
5.2. You hereby assign to the Producers the sole and exclusive right to use the recipe(s) that you furnish to the Producers in any media (including but not limited to television, film, photograph, video, tape, publications, books, digital media), wholly or partly recorded or captured, including any reproduction or adaptation thereof, and the broadcast thereof, for the purposes of Clover Little Big Cook-Off Season 2, and the promotion of Clover Little Big Cook-Off Season 2.
5.3. Your hereby assign to the Producers the sole and exclusive right to use, exploit, publish, reproduce, perform or otherwise deal with all material, including the recipe(s) that you furnish to the Producers and all material featuring the performances for or in connection with the marketing, promotion, distribution, production and sales of Clover Little Big Cook-Off Season 2, any spin-offs, repeats, merchandising, associated publications, digital media in perpetuity and throughout the world.
5.4. You hereby warrant that you are entitled to conclude this agreement and are not bound by any agreement which derogates from your obligations in terms of this agreement.
5.5. You waive any moral rights that you may have to the Performances and any broadcasts thereof.
5.6. The Producers are under no obligation to use or broadcast the whole or any part of your Performance in Clover Little Big Cook-Off Season 2.
5.7. The Producers may alter, adapt, make additions to or otherwise edit the Performance at their discretion.
5.8. You will not be entitled to any payment whatsoever in respect of your participation or your Performances or the broadcast thereof or the exploitation thereof.
5.9. To the extent necessary, you hereby assign, transfer and make over all your right, title and interest in and to the Performances to the Producers, free of charge.
5.10. Note that all entrants who are minors will be required to obtain work permits which are issued by the Department of Labour in order to participate in the AFP. The Producers will apply for work permits for all of minor entrants – if for whatever reason a work permit is not granted, the minor entrant and their team member will be disqualified from the competition. Furthermore, You may be disqualified, based solely on the discretion of the Producer.
5.11. You may elect to withdraw from Clover Little Big Cook-Off Season 2 at any time. Such withdrawal will lead to your immediate disqualification. You will not be allowed back onto the series.
5.12. You absolve the Producers and their agents, representatives as well as any performers or independent contractors appointed by the Producers, from and against any and all demands and claims of every nature and kind arising from the performances ad waive any claims which you might have, or whatever nature, against the Producers and/or their agents, arising from your participation in Clover Little Big Cook-off Season 2.
5.13. None of the Producers nor their respective advertising, promotion, media and PR Agencies, shall be liable to you in any way whatsoever for any loss, expense, damage, costs or injury sustained by you during or in connection with any performance or in relation to Clover Little Big Cook-Off Season 2 or the prizes offered. In addition, under no circumstances shall the Producers be liable to anyone who participates in Clover Little Big Cook-Off Season 2 for any indirect or consequential loss howsoever arising which may be suffered in relation to Clover Little Big Cook-Off Season 2, whether as a result of any negligent act or omission or any default on the part of the Producers or otherwise.
5.14. By participating in Clover Little Big Cook-Off Season 2 you accept and agree to abide by these rules, terms and conditions set out herein and such rules and conditions that the Producers may issue in relation to the Audition Phase and further phases of Clover Little Big Cook-Off Season 2 from time to time.
5.15. These terms and conditions are governed by the South African law and the South African courts shall have sole and exclusive jurisdiction in respect of all matters (including disputes) arising herefrom.
